Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the H3ight Platform, including the web application at app.h3ight.com, the H3ight website at h3ight.com, and all related services (collectively, the “Service”) provided by H3ight LLC (“H3ight,” “we,” “us,” or “our”), a Nevada Limited Liability Company.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • “Platform” refers to the H3ight SaaS platform accessible at app.h3ight.com, including all modules: H3Gear (Inventory & Asset Management), H3Safe (Safety & Compliance), H3Crew (Workforce Management), H3Project (Project Management & Billing), and H3Pay (Payroll & Expenses).
  • “User,” “you,” or “your” refers to any individual or entity that accesses or uses the Service.
  • “Organization” refers to the business entity that subscribes to the Service on behalf of its users.
  • “Content” refers to any data, text, files, images, or other materials uploaded, submitted, or transmitted through the Service.

2. Eligibility

The Service is intended for use by rope access companies and professionals aged 18 and older. By using the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the Organization you represent.

3. Account Registration and Security

3.1 Account Creation

To use the Platform, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree to:

  • Provide accurate and complete registration information
  • Keep your login credentials confidential
  • Notify H3ight immediately of any unauthorized use of your account
  • Not share your account credentials with unauthorized third parties

3.3 Organization Accounts

Organization administrators are responsible for managing user access within their organization, including assigning roles (Admin, Manager, Inspector, Viewer) and revoking access when appropriate.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit viruses, malware, or any other malicious code
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit content that infringes on the intellectual property rights of others
  • Resell, sublicense, or otherwise make the Service available to third parties without authorization
  • Use automated tools (bots, scrapers) to access the Service without prior written consent

5. Subscription and Payment

5.1 Pricing

The Service is offered on a subscription basis. Current pricing is available at h3ight.com/pricing. Prices are subject to change with 30 days' notice to existing subscribers.

5.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

5.3 Free Trials

We may offer free trial periods at our discretion. At the end of a trial period, your subscription will begin, and you will be billed unless you cancel before the trial ends.

5.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at hello@h3ight.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of your paid period.

6. Your Data and Content

6.1 Ownership

You retain all ownership rights to the Content you upload to the Service. H3ight does not claim ownership of your data.

6.2 License Grant

By uploading Content to the Service, you grant H3ight a limited, non-exclusive, worldwide license to use, store, process, and display your Content solely for the purpose of providing and improving the Service.

6.3 Data Export

You may export your data at any time through the Platform's export features. Upon account termination, we will make your data available for export for a reasonable period (at least 30 days).

6.4 Data Retention

We retain your data while your account is active and for up to 30 days after account deletion. Backups may persist for up to 90 days. For details, see our Privacy Policy.

7. Intellectual Property

7.1 H3ight's Rights

The Service, including all software, design, text, graphics, logos, and trademarks (including H3ight, H3Gear, H3Safe, H3Crew, H3Project, and H3Pay), are the property of H3ight LLC and are protected by intellectual property laws. Nothing in these Terms grants you any right to use H3ight's trademarks or branding.

7.2 Feedback

If you provide suggestions, feedback, or ideas about the Service, you grant H3ight an unrestricted, perpetual, royalty-free license to use that feedback for any purpose without obligation to you.

8. Service Availability

8.1 Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that affect your use of the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

H3ight does not warrant that the Service will be uninterrupted, error-free, or secure. While the Platform assists with equipment tracking and compliance management, H3ight is not a substitute for professional safety judgment, qualified inspections, or regulatory compliance expertise. Users are solely responsible for ensuring that their equipment and operations meet all applicable safety standards and regulations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, H3IGHT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL H3IGHT'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO H3IGHT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

H3ight shall not be liable for any injury, death, equipment failure, or property damage arising from the use or misuse of data managed through the Service. The Service is an administrative tool and does not replace physical inspections, safety protocols, or professional engineering judgment.

11. Indemnification

You agree to indemnify, defend, and hold harmless H3ight LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your Content or data uploaded to the Service
  • Any claim that your use of the Service caused damage to a third party

12. Termination

12.1 By You

You may terminate your account at any time by contacting us at hello@h3ight.com or through your account settings.

12.2 By H3ight

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is otherwise objectionable.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will survive.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law principles.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in Clark County, Nevada, in accordance with the rules of the American Arbitration Association.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically. The “Last Updated” date at the top indicates when the Terms were last revised.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and H3ight regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

The failure of H3ight to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without H3ight's prior written consent. H3ight may assign its rights and obligations under these Terms without restriction.
